Terms of Service

These Terms of Service ("Terms") govern your access to and use of Chestnut, operated by Mikolaj Kacki ("we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
Chestnut is an educational platform for software engineers programming with coding agents. It creates learning materials to help programmers learn faster. The Service integrates with third-party tools including AI providers and payment processors to deliver this experience.
2. Account Registration
You must sign in using a supported authentication provider. You are responsible for maintaining the security of your account and for all activity that occurs under it. You must be at least 16 years old to use the Service. By creating an account, you represent that the information you provide is accurate and complete.
3. Subscription Plans & Payment
Chestnut offers Free, Pro, and Ultra subscription tiers. Paid plans are billed through Stripe on a monthly or annual basis. You may upgrade, downgrade, or cancel your plan at any time from your account settings. When you cancel a paid plan, you retain access until the end of your current billing period, after which your account reverts to the Free tier. Refunds are not provided for partial billing periods unless required by applicable law.
4. Acceptable Use
You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorised access to any part of the Service or its infrastructure; (c) interfere with or disrupt the integrity or performance of the Service; (d) upload malicious code or content; (e) use the Service to harass, abuse, or harm others; or (f) circumvent any usage limits or access controls.
5. Your Content & Data
You retain ownership of any code, text, or other content you provide to the Service ("Your Content"). We do not claim ownership of Your Content. By using the Service, you grant us a limited licence to access, process, and analyse Your Content solely for the purpose of providing and improving the Service — for example, generating courses and certificates from courses you complete. Content generated by the Service (such as courses) is provided for your personal learning use. We may use aggregated, anonymised data to improve the Service, but we will not share your individual code or learning data with other users or sell it to third parties.
6. Developer Tool Integrations
The Service offers integrations via the Model Context Protocol (MCP) with developer tools. When you use these integrations, your authentication tokens are stored securely and used only to communicate with the Service on your behalf. Usage is subject to the rate limits of your subscription plan and any limits imposed by the third-party tool.
7. Certificates
Chestnut may generate certificates for completed courses. These certificates are accessible via public URLs and include your name, the course title, and completion date. Certificate pages are publicly accessible and subject to standard analytics. By earning a certificate, you consent to this information being publicly accessible at the certificate URL.
8. Intellectual Property
The Service, including its design, code, branding, and AI-generated learning content, is owned by us and protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.
9. Third-Party Services
The Service relies on third-party providers for AI content generation, payment processing, analytics, cloud hosting, and authentication. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of any third-party service.
10. Service Availability & Modifications
We aim to provide reasonable availability of the Service but do not guarantee uninterrupted or error-free access. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify you of material changes that affect your use of the Service.
11. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee the accuracy, completeness, or reliability of any AI-generated content, including courses, summaries, or knowledge graph entries. Learning content is provided for educational purposes and should not be treated as professional advice.
12. Limitation of Liability
To the maximum extent permitted by applicable law, our total aggregate liability to you for any claims arising out of or relating to the Service shall not exceed the greater of: (a) the total fees paid by you in the twelve (12) months preceding the claim, or (b) one hundred pounds sterling (£100). We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
13. Indemnification
You agree to indemnify and hold us harmless from any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
14. Force Majeure
We shall not be liable for any delay or failure to perform our obligations under these Terms where such delay or failure results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure outages, labour disputes, or third-party service failures.
15. Term & Termination
These Terms remain in effect for as long as you use the Service. You may terminate your account at any time by deleting it through your account settings. When you delete your account, all associated data — including courses, progress, knowledge graph entries, and certificates — will be permanently removed. We may suspend or terminate your access if you violate these Terms, with or without notice. Upon termination, the following sections survive: Sections 5, 8, 11, 12, 13, 14, 16, and 17.
16. Dispute Resolution
If a dispute arises from or relates to these Terms or the Service, you and we agree to first attempt to resolve the dispute through good-faith negotiation. If the dispute is not resolved within thirty (30) days of written notice, either party may refer the dispute to mediation administered under the rules of the Centre for Effective Dispute Resolution (CEDR) before commencing court proceedings. Nothing in this section prevents either party from seeking urgent injunctive relief from a court of competent jurisdiction.
17. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Subject to Section 16, any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of London, England.
18. Changes to Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service. Your continued use of the Service after such changes constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.
19. General Provisions
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any provision shall not constitute a waiver of that provision. These Terms constitute the entire agreement between you and us regarding the Service and supersede any prior agreements.
